The Uncommon Form 4 Transaction Codes

  • Use these codes when the transaction is not a plain purchase, sale, grant, or routine exercise.
  • Several sit in the derivative securities family (E, H, O) and pair conceptually with codes covered elsewhere (E with H, O with X).
  • Two of the ten, K and V, are not transaction codes, rather they modify or flag another code.
  • The SEC's own filing data bears that out: neither letter appears as a transaction code at all. The equity swap flag that K marks was set on 0.40% of 2025 transaction lines, and 0.73% were flagged as reported early, which is what V marks on the form.
  • Section16agent.com recommends consulting with an experienced securities attorney before using any of these uncommon Form 4 transaction codes; their usage is rare and unusual.

Used when a short derivative position, an obligation such as a written call or put, lapses unexercised.
